TERMS AND CONDITIONS OF SALE & LEASE
MASS Lebanon
1. Scope of Agreement
These Terms and Conditions govern all sales of new and refurbished photocopiers, spare parts, consumables (including toners), and all leasing of equipment by MASS Lebanon (the “Company”) to its customers (the “Client”).
By issuing a purchase order, making payment, or signing a lease agreement, the Client expressly agrees to be bound by these Terms and Conditions.
2. Equipment Status (New vs. Refurbished)
2.1 New Equipment
New equipment is covered solely by the original manufacturer’s warranty, subject to the manufacturer’s terms and conditions. MASS Lebanon does not extend or modify such warranty unless expressly stated in writing.
2.2 Refurbished Equipment
Refurbished equipment is sold “as-certified” by MASS Lebanon. Each unit undergoes a multi-point technical inspection and is restored to proper working condition at the time of delivery.
Warranty for refurbished equipment is limited to [3 / 6] months from the delivery date, unless otherwise agreed in writing.
This warranty covers functional defects only and excludes consumables, cosmetic wear, misuse, power fluctuations, or third-party interference.
3. Spare Parts & Consumables
All spare parts and consumables (including toners) are considered final sale once packaging is opened.
MASS Lebanon guarantees compatibility only where the Client has provided the correct machine model and serial number at the time of ordering. No liability shall arise from incorrect or incomplete information provided by the Client.
4. Lease Agreements
All leased equipment remains the exclusive property of MASS Lebanon at all times.
The Client shall not relocate, modify, open, repair, or allow third-party intervention on leased equipment without prior written approval from MASS Lebanon.
The Client shall be fully responsible for any damage, malfunction, or loss resulting from misuse, negligence, power instability, or the use of non-approved consumables or parts.
5. Delivery and Installation
Delivery dates are estimates only. MASS Lebanon shall not be liable for delays caused by customs procedures, port congestion, security conditions, fuel shortages, or logistical disruptions within Lebanese territory.
Risk of loss or damage passes to the Client upon delivery to the Client’s premises.
6. Force Majeure (Superior Force)
Pursuant to Article 341 of the Lebanese Code of Obligations and Contracts, neither party shall be liable for failure or delay in performance resulting from a Force Majeure event beyond reasonable control.
Force Majeure includes, without limitation:
Acts of God, fire, flood, or earthquake
War, armed conflict, civil unrest, strikes, or road closures
Sudden changes in Lebanese import/export regulations or Central Bank policies
Extended electricity outages or telecommunications failures affecting digital equipment
Global semiconductor shortages or shipping disruptions affecting parts availability
If a Force Majeure event continues for more than thirty (30) days, either party may terminate the affected order without penalty, except for amounts due for goods or services already delivered.
7. Payment Terms
All invoices are payable in the currency and payment method specified on the invoice (Fresh USD or LBP at the applicable market rate).
Ownership of goods sold shall remain with MASS Lebanon until full payment is received. MASS Lebanon reserves the right to suspend delivery, installation, or service in case of delayed or unpaid invoices.
8. Maintenance and Technical Support
Maintenance and technical support are provided during standard working hours.
MASS Lebanon reserves the right to refuse service where:
Equipment has been tampered with by unauthorized personnel
Non-compatible consumables or parts were used
The Client is in arrears or in breach of payment obligations
9. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Lebanon.
Any dispute arising out of or in connection with these Terms shall fall under the exclusive jurisdiction of the Courts of Beirut.
